Terms of Service

Effective October 12, 2026

These terms apply to the website pharsyde.co and to the software and services PharSyde Technologies Inc. ("PharSyde", "we", "us") provides. By using the website or our services, you agree to them.

1. Our services

PharSyde builds and operates software for business clients, and provides related development and advisory work. Our software includes tools a business uses to exchange text messages and email with its own customers, manage its records, and get help from automated assistants.

2. Client agreements come first

We provide services to each client under a written agreement. Where that agreement and these terms differ, the agreement applies.

3. Accounts

  • Access to our software is by invitation from a client. Each person must use their own sign-in.
  • You must keep your sign-in details and your second sign-in step secure, and tell your administrator or us promptly if you think someone else has used them.
  • A client is responsible for what its staff do in its account.

4. Acceptable use

If you use our software, you agree not to:

  • send a text message or email to anyone who has not given the consent the law requires, or who has opted out;
  • send messages that are unlawful, deceptive, harassing or fraudulent, or that the mobile carriers prohibit;
  • break the laws that apply to your communications, including the United States Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing laws and Canada's anti-spam legislation;
  • upload information you have no right to use, or information our agreement with you says the software must not hold;
  • try to get around security controls, reach another client's information, or disrupt the service;
  • copy, resell or reverse engineer the software, except where the law allows it despite this term.

We may suspend sending or access where needed to stop a breach of these rules, to follow a carrier's or regulator's instruction, or to protect the service or other people. Where we can, we will tell the client first.

5. Text messaging

A client that sends text messages through our software is the sender of those messages. It is responsible for getting and recording consent, for the content of what it sends, and for honouring opt-outs. Our software applies opt-outs and sending rules automatically, but these are aids and do not replace the client's own duties. Our Text Messaging Terms explain what recipients can expect.

6. Your information and ours

  • A client owns the information it puts into our software. We use it only to provide the services, as our agreement and our Privacy Policy describe.
  • We own the software, this website and their content. Nothing here transfers those rights to you.
  • If you send us suggestions, we may use them without owing you anything.

7. Automated assistants

Some features use AI models to draft text, summarise conversations or read documents. Their output can be wrong. A client must review what the software proposes before relying on it, and remains responsible for what is sent or recorded in its name.

8. Other companies' services

Our software works with services run by other companies, such as mobile carriers and messaging providers. We are not responsible for those services, and their availability can affect ours.

9. This website

The website is provided for general information. It is provided as it is, without promises of any kind, and it is not professional advice.

10. Disclaimers and limits

Except as a written agreement with us says otherwise, and to the extent the law allows: our services are provided without warranties of any kind, whether express or implied; we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data; and our total liability for any claim is limited to the amount the client paid us for the services in the twelve months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited.

11. Ending use

You may stop using the website at any time. A client's use of our services ends as its agreement provides. Terms that by their nature should continue after use ends will continue.

12. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute, unless a written agreement with us says otherwise.

13. Changes

We may update these terms. The date at the top shows when they last changed. If a change is significant, we will tell our clients before it takes effect.
